Our governance framework is anchored in ethics, compliance, transparency, and strong internal controls. ESG oversight is driven by a ESG Committee chaired by the Independent Director. Risk Management Committee periodically assesses enterprise risks and aligns mitigation strategies with business priorities. Policies on anti-corruption, human rights, cybersecurity, whistle-blower protection, and sustainable procurement ensure accountability across all business functions. We align our disclosures with SEBI’s BRSR and GRI standards expectations to maintain credibility and stakeholder trust. ESG committee in co-ordination with CMD, are integral to our strategy and operational decisions. This committee ensures ESG considerations are at the forefront of our business planning, aligning business goals with our broader ESG objectives. Corporate Governance
Governance is guided by structured oversight from the Board, adherence to a current Code of Conduct, and mandatory ethics declarations for all key employees. The ESG and Risk Management committee, led by the Director, oversees strategy, KPIs, and disclosures on a quarterly basis. ESG and Risk Management committee reports to Board of Directors, Functional level and Site-level responsibilities are managed by the respective functional head and site heads under the direction of CMD. Governance performance is tracked through a centralised tracking covering audit disclosures, ethical violations, and policy adherence, with regular reviews to support continual improvement. All key employees complete mandatory ethics declarations. ESG outcomes are a shared responsibility across the organisation. Shared ownership is embedded through formal policies, procedures, job roles, periodic training, and leadership modelling (walk-the-talk approach), promoting a culture of ethical accountability. Governance KPIs such as policy adherence, audit closure rates, grievance resolutions, and ethical conduct are tracked. Ethical Business Conduct
Ethical conduct is reinforced through human rights, anti-corruption, and POSH policies, applicable to all employees and contractors. An anonymous Whistle-blower Mechanism ensures confidentiality and prohibits retaliation. Ethics training and grievance redressal systems are in place, and ethical violations are tracked and reported to the Ethics Committee. Outcomes feed into improvement actions, reviewed periodically by leadership.
Compliance with Laws and Regulations
All manufacturing sites and functions maintain 100% compliance with statutory licenses, supported by internal and regulatory audits. Compliance calendars and trackers are reviewed quarterly in Board meetings to ensure adherence. Disclosures are aligned with SEBI-BRSR frameworks. Legal compliance performance is monitored, and deviations are addressed through structured corrective action plans.
Risk Management
An Enterprise Risk Management (ERM) system identifies operational, compliance, and cyber risks. Biannual reviews assess control effectiveness, while site-specific risk registers are maintained and updated periodically. ESG risks and opportunities are pre-evaluated for all major investments and expansions. Risk indicators and mitigation progress are reported to the board for oversight and decision-making. Material ESG issues are identified through a structured materiality mapping process, incorporating both impact materiality and financial materiality (double materiality) as per BRSR guidelines. These insights are used to inform risk mitigation strategies and long-term value creation.
Transparent Procurement
Procurement practices are based on transparency, supplier ethics, and ESG screening. Critical vendors undergo ESG assessments and audits. Non-compliant vendors face de-boarding or must implement corrective actions. Procurement KPIs are tracked for policy adherence and reviewed in governance dashboards. There is provision in system to address customer complaints within defined time to maintain satisfaction and transparency in supply chain.
Information Security and Data Privacy
Information security is governed by ISO-aligned protocols, including encryption, endpoint protection, and user access control. Staff undergo mandatory ISMS training to ensure secure handling of sensitive data. Cybersecurity indicators are reviewed quarterly, and continual improvements are made through internal assessments and board-level reviews. Company practices periodical cyber security risk assessment and improve information security infrastructure, to ensure business continuity in abnormal and emergency situation there is provision of emergency response and recovery.
